Neusoft Ruichi, Shuguang and Samsung SDI invested 50 million yuan, 35 million yuan and 15 million yuan, respectively, accounting for 50%, 35% and 15% of the registered capital. The Neusoft Ruichi intellectual property required for the operation of the joint venture company is signed by the joint venture company and Neusoft Ruichi. The parties agree that within three years from the date of establishment of the joint venture company, the joint venture company will pay the technical sales fee of 3% of the total sales revenue to Neusoft Ruichi (and its subsidiaries and affiliates) each year, and the annual technical use fee will be charged by the parties. The board of directors of the joint venture company consists of five directors, three of whom are appointed by Neusoft Ruichi, one director is appointed by Shuguang Co., and one director is appointed by Samsung SDI.
